Terms and Conditions

1. Accounts and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You agree to provide accurate information, keep your login credentials confidential, and notify us of any unauthorized access. We reserve the right to suspend or terminate accounts for violations of these Terms or suspected fraud/abuse.

• Only one account per individual/entity unless otherwise approved.
• You are responsible for all activity that occurs under your credentials.
• We may conduct verification checks or request additional documentation.

2. Services Overview

UseAI provides access to creative tools powered by partner APIs (including video, image, audio, voice, scriptwriting, and workflow automation). We continually iterate the platform; features may be added, removed, or modified without prior notice. Some features may be in beta, limited release, or require specific subscription tiers.

3. Subscription Plans, Tokens, and Payments

• Billing cycles. Plans renew automatically unless canceled before the renewal date.
• Token usage. Video/audio generations and premium actions debit tokens according to the pricing table in your dashboard.
• Refunds. Except where required by law, all payments are non-refundable. Failed generations that exhaust retry attempts may receive automatic token refunds at our discretion.
• Taxes & fees. You are responsible for any applicable taxes, payment processor fees, or currency conversion costs.
• Plan changes. Upgrades take effect immediately with prorated charges; downgrades apply at the next billing cycle.

5. Intellectual Property & License

Subject to these Terms and timely payment of all fees, we grant you a limited, non-exclusive, non-transferable license to use the outputs you create for personal or commercial purposes. You are solely responsible for reviewing outputs for accuracy, bias, or infringement before distribution. We retain ownership of the platform, tooling, UI, documentation, and underlying models/API integrations. Feedback you provide may be used to improve the Services without obligation.

6. Privacy & Data Usage

We collect and process data as described in our Privacy Policy. By using the Services you consent to data transfers and processing in jurisdictions where we or our providers operate. Certain provider APIs may store prompts, media, or metadata for troubleshooting, abuse prevention, or quality improvement. Do not submit confidential or regulated data unless you have the legal right to do so.

7. Third-Party Providers & Integrations

Some functionality relies on third-party AI models, payment processors, storage services, or communication tools. Their terms may apply in addition to ours. We do not guarantee uninterrupted availability of any third-party service. If an external provider discontinues or limits access, we may suspend or modify the related feature without liability.

8. Service Availability and Support

We strive to maintain high uptime, but the Services may be temporarily unavailable for maintenance, upgrades, or circumstances beyond our control. Support channels (chat, ticketing, or email) are provided on a best-effort basis corresponding to your plan level. Critical incidents or abuse investigations may require us to access your projects to troubleshoot.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that outputs will be accurate, error-free, or compliant with specific regulatory frameworks. You assume full responsibility for evaluating the suitability of any generated content.

10. Limitation of Liability

To the maximum extent permitted by law, UseAI, its affiliates, directors, employees, and partners shall not be liable for indirect, incidental, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or use. Our aggregate liability for any claims arising out of or relating to the Services shall not exceed the greater of (a) the amount you paid in the 3 months preceding the claim or (b) USD $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless UseAI and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable laws.

12. Suspension & Termination

We may suspend or terminate access immediately if you violate these Terms, engage in fraudulent/abusive behavior, fail to pay fees, or pose security/legal risks. Upon termination, your license to use the Services ends, and we may delete or disable access to your content, except where required by law to preserve it. You may cancel at any time through the billing portal; no refunds will be issued for the current term.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction specified in your invoice or, if unspecified, the laws of Delaware, USA, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration or courts located in that jurisdiction unless prohibited by local consumer laws.

14. Changes to These Terms

We may update these Terms to reflect new features, legal requirements, or operational adjustments. Material changes will be communicated via the dashboard, email, or public notice. Continued use after the effective date constitutes acceptance of the revised Terms.
